A clear basis for working together
Terms of use and service.
These terms explain the conditions for using this website and the general principles that apply to ForgeLayer Studio services.
Website use
You may use this website for lawful business information and to contact ForgeLayer Studio. You must not interfere with the website, attempt unauthorised access, introduce malicious code or use site content in a way that infringes another person’s rights. We may update, suspend or withdraw website content where reasonably necessary.
Service agreements and project scope
Website information is general and is not a binding offer to provide a particular service. A project begins when the parties agree a written proposal, statement of work or other service agreement. That agreement will define the work, deliverables, assumptions, milestones, client dependencies, fees, payment schedule, acceptance process and any applicable support terms.
Changes to scope should be agreed in writing, including any effect on fees, timing or dependencies. If a dependency, decision or access is delayed, the parties will discuss a reasonable adjustment to the schedule and delivery plan. Neither party is required to perform work outside the agreed scope without written agreement.
Client responsibilities
Clients are responsible for providing accurate information, timely access to relevant people and systems, decisions within agreed timeframes and any permissions required for materials they supply. Clients remain responsible for the legality and accuracy of their content, business rules and operational decisions, and for maintaining appropriate backups of their own systems and data.
Fees, invoicing and payment
Fees, expenses, invoicing milestones and payment dates are set out in the relevant written project agreement. Unless that agreement says otherwise, invoices are payable within 30 calendar days of the invoice date. Any applicable taxes are additional where required by law. If a payment is overdue, the parties will first work in good faith to resolve the issue; statutory rights concerning interest and recovery of costs are not waived.
Work may be paused after reasonable written notice if an undisputed invoice remains overdue. A pause may affect delivery dates. No payment card or payment-method details should be sent through this website.
Intellectual property
Each party retains ownership of intellectual property it owned or developed independently before a project. Subject to payment of the agreed fees, the client owns the bespoke deliverables expressly assigned to it in the project agreement. ForgeLayer Studio retains its pre-existing methods, know-how, templates, libraries and reusable components, and grants the client the rights needed to use any such material incorporated into the deliverables for their intended purpose.
Each party grants the other a limited right to use materials it supplies only to the extent necessary to perform the agreed work. The supplying party is responsible for having the rights needed to provide those materials.
Confidentiality and information
Each party will use reasonable care to protect the other party’s non-public information and use it only for the relevant business relationship. This does not apply to information that is public without breach, already lawfully known, independently developed or required to be disclosed by law. Personal information is handled in accordance with the privacy policy and applicable data protection requirements.
Third-party services and open-source software
Products may rely on third-party platforms, hosting, software or APIs. Those services are governed by their own terms and availability, and may change independently of ForgeLayer Studio. We will identify material dependencies during delivery and make reasonable efforts to explain relevant constraints. Open-source components remain subject to their applicable licences.
Warranties and support
We will perform agreed services with reasonable skill and care. Any specific warranty, acceptance period, service level, maintenance or support commitment must be stated in the relevant written agreement. Unless expressly agreed, this website does not create a promise of uninterrupted availability or support outside the published support hours.
Liability
Nothing in these terms limits or excludes liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation or death or personal injury caused by negligence. Subject to that, neither party is liable to the other for indirect or consequential loss, loss of anticipated profit, loss of opportunity or loss of goodwill arising from a project.
For a paid service, each party’s total liability arising from the relevant project is limited to the fees paid or payable for that project in the 12 months before the event giving rise to the claim, except to the extent a different limit is expressly agreed in writing or the liability cannot lawfully be limited. The specific signed project agreement takes precedence where it expressly addresses liability differently.
Ending a service engagement
Ending rights, notice periods, payment for work completed and transition arrangements are set out in the relevant project agreement. Where an agreement does not address an issue, the parties will act reasonably, settle fees for work completed and cooperate on an orderly handover of paid-for deliverables and client materials.
Governing law and changes
These website terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply to a particular party. A separate signed service agreement may specify its own governing terms.
We may revise these terms as the website or services evolve. The reviewed date above indicates the latest revision. Continued use of the website after an update means you accept the current website terms.
